Licence Agreement

1. Parties

This Licence Agreement ("Agreement") is between you ("User," "Licensee") and KIWISKS NZ LIMITED (NZBN 9429052142369, Company No. 9252254), trading as LY Traders AI Lab ("LY Bots," "Licensor").

2. Licence Grant

Subject to your compliance with this Agreement, LY Bots grants you a non-exclusive, non-transferable, revocable, personal licence to install and use the purchased Expert Advisor on one (1) MetaTrader 5 account associated with the MetaTrader 5 account number provided during activation. The licence is issued to you personally and is intended for your use only. The licence key is bound to that account number and will not activate on any other account.

Licensed users are entitled to receive eligible software updates released by LY Bots at no additional cost through 31 December 2030.

3. Licence Key

After purchase, you will be asked to provide the MetaTrader 5 account number you intend to use for activation. LY Bots will generate and deliver your licence key and product files to the email address provided at purchase, typically within 48 hours of receiving the account number. The licence key will activate only on the nominated MetaTrader 5 account. You agree:

To keep your licence key confidential and not share it with any third party
Not to distribute, publish, or resell your licence key
That you are responsible for safeguarding your licence key against unauthorised use

Unlicensed or unauthorised use of the Expert Advisor constitutes a breach of this Agreement and may result in immediate termination of the licence and cancellation of your key without refund.

3.1 Key Replacement and Device Migration

Changing computers or VPS providers does not normally require a new licence key if you continue using the same MetaTrader 5 account number. Requests involving a change of account number are granted once at no additional cost. Subsequent account changes require a new licence purchase.

Replacement keys are issued at LY Bots' sole discretion. Licence keys are not transferable to other persons.

4. Restrictions

You may not:

Modify, decompile, disassemble, reverse engineer, or attempt to derive the source code of the Expert Advisor
Copy, reproduce, or distribute the Expert Advisor to any third party
Use the licence key on any MetaTrader 5 account other than the account number for which it was issued
Rent, lease, loan, sublicense, or transfer the licence to any other person or entity
Use the Expert Advisor in any manner that violates applicable laws or regulations

5. Ownership

The Expert Advisor, including all intellectual property rights in its source code, compiled code, design, documentation, and associated materials, is and remains the exclusive property of KIWISKS NZ LIMITED (LY Traders AI Lab). This Agreement grants you a licence to use the software — it does not transfer ownership.

6. Term and Termination

Term: This Agreement begins on the date you purchase the Expert Advisor and continues until terminated as provided below.
Termination by You: You may terminate this Agreement at any time by ceasing all use of the Expert Advisor and destroying all copies in your possession.
Termination by LY Bots: LY Bots may terminate this Agreement immediately if you breach any provision, including but not limited to sharing your licence key, reverse engineering the software, or using the licence key on an unauthorised account.
Effect of Termination: Upon termination, your licence to use the Expert Advisor ends immediately. You must cease all use and destroy all copies. Sections 4 (Restrictions), 5 (Ownership), and 8 (Limitation of Liability) survive termination.

7. Product Discontinuation

LY Bots reserves the right to discontinue any Expert Advisor product at any time. In the event of discontinuation:

You will retain access to the most recent version released prior to discontinuation
No further updates will be provided
Discontinuation of a product does not by itself create an entitlement to a refund.

8. Limitation of Liability

To the fullest extent permitted by law, KIWISKS NZ LIMITED shall not be liable for any direct, indirect, incidental, or consequential damages arising from your use of or inability to use the Expert Advisor. Subject to applicable consumer laws, your sole contractual remedy for a defective product is a refund in accordance with our Refund Policy (see Terms of Service, Section 6).

Nothing in this Agreement excludes or limits any guarantees, rights, or remedies that cannot be excluded under the Consumer Guarantees Act 1993 (NZ) or the Fair Trading Act 1986 (NZ). If you are a consumer under those Acts, your statutory rights are not affected.

9. Governing Law

This Agreement is governed by the laws of New Zealand. Any disputes shall be subject to the exclusive jurisdiction of the courts of New Zealand.

10. Entire Agreement

This Licence Agreement, together with the Terms of Service, Privacy Policy, and Refund Policy, constitutes the entire agreement between you and KIWISKS NZ LIMITED regarding the use of the licensed Expert Advisor. It supersedes any prior agreements, representations, or understandings.
